This Agreement is made between:
• Licensor (Producer): Nimz Music Studio
• Licensee (Artist/Client): You

1. Grant of Rights
The Licensor grants the Licensee the exclusive right to use the instrumental track (the “Instrumental”) for creating, recording, distributing, and performing songs or other works.
• The Licensee may release the Instrumental commercially worldwide.
• The Licensor keeps ownership of the original instrumental file and the right to collect royalties as outlined below.

2. Royalty Structure
The Licensee agrees to pay the Licensor royalties as follows:
• Master Royalties: 15% of revenue earned from sales and streams of the song(s) using the Instrumental.
• Performance Royalties: 50% of revenue earned from live performances, radio, public performances, and collections from Performing Rights Organizations (PROs).
• Sync Fees: 15% of revenue from licensing the song(s) for film, TV, commercials, video games, or other media.

• 50% payment is due at checkout.
• 50% payment is due before final delivery of files.
• Payments are non-refundable once received.

4. Revenue Distribution
• The Licensor’s royalty share will be paid semi-annually, on January 15 and July 15 each year.
• Payments may be made via PayPal, wire transfer, or DistroKid splits (or another agreed-upon method).
• No monthly or quarterly royalty statements are required. Payments will be made on schedule in good faith.

5. Territory and Duration
• Territory: Worldwide
• Duration: This license remains valid indefinitely unless both parties agree otherwise in writing.

6. Credit
The Licensee must credit the Producer by including the line:
“Produced by Nimz”
wherever the song is released, including streaming platforms, physical copies, and promotional materials.

7. Miscellaneous
• Governing Law: This Agreement is governed by the laws of Canada.
• Disputes: Any disputes will first be handled by good-faith negotiation. If unresolved, they may be settled under Canadian jurisdiction.
• Amendments: Any changes to this Agreement must be made in writing and agreed upon by both parties.
